Terms of Service

1. Acceptance

By accessing or using Property & Facilities Platform (the "Service"), operated by PPRP Innovations ("Company", "we", "us"), you agree to be bound by these Terms of Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

2. Service Description

The Service is a property and facilities management platform for organizations. It provides tools for asset tracking, work order management, compliance monitoring, lease administration, vendor management, and related facilities operations.

3. Accounts and Access

Access is provisioned by your organization's administrator. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must notify your administrator immediately of any unauthorized use.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any regulations
• Attempt to gain unauthorized access to any part of the Service or its related systems
• Transmit any content that is harmful, fraudulent, or infringes third-party rights
• Interfere with the integrity or performance of the Service
• Reverse engineer, decompile, or attempt to extract source code

5. Data and Content

You retain ownership of all data and content you upload to the Service ("Customer Data"). You grant us a limited license to store, process, and display Customer Data solely to provide the Service. We will not sell or share Customer Data with third parties except as required to operate the Service or as required by law.

6. Confidentiality

Each party agrees to maintain the confidentiality of the other party's non-public information and to use it only for purposes of this agreement. This obligation does not apply to information that is publicly known, independently developed, or required to be disclosed by law.

7. Intellectual Property

The Service and its original content (excluding Customer Data) are and remain the exclusive property of PPRP Innovations. Nothing in these Terms transfers any IP rights to you except the limited right to use the Service as described herein.

8. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall the Company be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with these Terms or your use of the Service, even if the Company has been advised of the possibility of such damages.

Our total aggregate liability to you for any claims arising from or related to these Terms or the Service will not exceed the amounts paid by your organization for the Service in the twelve months preceding the claim.

9. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

10. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other business reason, with or without notice. Upon termination, your right to use the Service immediately ceases.

11. Governing Law

These Terms are governed by the laws of the State of Nebraska, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Douglas County, Nebraska.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or a prominent notice within the Service. Continued use of the Service after changes constitutes acceptance of the revised Terms.
